Terms of Service

Please read these Terms of Service ("Terms") carefully before using the MicroGive platform operated by Christian Esqueda, dba MicroGive ("MicroGive," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By accessing or using MicroGive, you confirm that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and agree to these Terms and our Privacy Policy.

2. Description of Service

MicroGive is a B2B2C micro-donation platform that allows individuals ("Donors") to automatically donate a percentage of their everyday purchases to charitable organizations ("Organizations") by linking transaction accounts through Plaid and setting a payment method (bank account and/or card) through Stripe. Donation disbursements are processed through Stripe Connect.

3. Eligibility

  • You must be at least 18 years of age
  • You must be a resident of the United States
  • You must have a valid U.S. bank account or card payment method to use donation features
  • Organizations must have a valid EIN and be in good standing

We reserve the right to refuse service to anyone for any reason at any time.

4. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. We are not liable for losses arising from unauthorized account access due to your failure to safeguard your credentials.

5. Donor Terms

Transaction Account Linking (Plaid)

By connecting an account in Plaid, you authorize MicroGive to access your transaction history through Plaid solely for the purpose of calculating micro-donations based on your configured donation settings. You may disconnect Plaid access at any time from your account settings.

Payment Method Authorization (Stripe)

By saving a payment method (bank account and/or card) in Stripe, you authorize MicroGive to charge your monthly micro-donation total on or around month end based on your settings. You may pause, adjust, or cancel donations at any time before processing.

Donation Authorization

By enabling automatic donations, you authorize MicroGive to calculate donation amounts based on your transaction activity and process those donations to your selected organization(s) on a periodic basis. You may pause, adjust, or cancel donations at any time. Donations already processed cannot be reversed.

Donation Amounts

Donation amounts are calculated based on the percentage rate you configure applied to eligible transactions. MicroGive charges a platform fee on processed donations, which will be disclosed to you prior to processing.

6. Organization Terms

Eligibility and Verification

Organizations must provide a valid EIN and complete our verification process before receiving donations. MicroGive reserves the right to decline or remove any organization at its discretion.

Stripe Connect

Organizations must complete Stripe's Connected Account onboarding to receive payouts. The bank account you connect through Stripe is used solely to receive donation payouts. By doing so, you also agree to Stripe's Connected Account Agreement. MicroGive is not responsible for delays or failures in Stripe payouts.

Donor Data

Organizations may view aggregated donation totals and donor counts. Organizations do not receive individual donor transaction history, bank information, or personal financial data.

7. Fees

Per-donation fees

MicroGive charges a 3.5% platform fee on each donation processed through the Service. This fee supports platform operations and is separate from payment processing costs.

Stripe processing is passed through at cost and deducted from the same charge before your organization receives net proceeds. Current estimates are bank transfers (~0.25% + $0.10) and card charges (2.9% + $0.30). Both fees apply to the same transaction; the 3.5% platform fee does not include Stripe processing.

Supporters may optionally cover the 3.5% platform fee on their gifts so your organization receives the full gift amount. Stripe processing still applies separately.

Monthly platform fee (Organizations only)

Organizations pay no monthly platform fee until prior-month completed donation volume reaches $200. After that, a monthly platform fee applies based on prior-month gross donation volume (the calendar month before the billing date):

  • Under $200/mo raised: $0
  • $200–$999/mo raised: $10/mo
  • $1,000–$2,999/mo raised: $39/mo
  • $3,000+/mo raised: $99/mo

What “never charged out of pocket” means (while active)

While your organization is active on MicroGive, “never charged out of pocket” means:

  • MicroGive will not send your organization a separate invoice, bill, or payment request for the monthly platform fee
  • MicroGive will not charge your connected bank account, debit card, or any payment method on file as a standalone monthly platform fee
  • The monthly platform fee is withheld from donor gifts MicroGive processes on your behalf — it is deducted from donation proceeds before your organization receives its net payout, the same way per-donation platform fees are handled
  • The bank account you connect through Stripe Connect is used to receive donation payouts, not to pay MicroGive platform fees directly

In practical terms: if your organization owes a $10 monthly platform fee, that $10 comes out of the donations flowing through MicroGive in the billing month — not from a separate charge to your organization's bank account.

When the monthly fee is assessed

Monthly platform fees are calculated on the 1st of each calendar month based on your organization's prior-month completed donation volume. For example, donations completed in January determine the monthly platform fee assessed in February. You will receive advance notice by email and in your organization dashboard when your volume approaches or crosses a fee tier.

Unpaid fees carry forward (while active)

If your organization owes a monthly platform fee but donation volume in a billing month is not enough to withhold the full amount from incoming gifts, the remaining balance carries forward and is netted from future donations when they resume. MicroGive will not send a separate bill or charge your bank account for platform fees during normal operation.

Termination with an outstanding balance (the one exception)

If you terminate or deactivate your organization's account while an outstanding platform fee balance remains due, that balance remains owed. MicroGive may collect it from your Stripe Connect account balance. If the Connect balance is insufficient, collection may be handled by Stripe under your Connected Account Agreement, which may include debiting your connected payout bank account. This is the only circumstance in which platform fees may be recovered outside of donation proceeds.

The fee schedule may be updated with 30 days' notice. Current rates are published on the nonprofit pricing page and in your organization dashboard.

8. Communications

Transactional Communications

By creating an account, you consent to receive transactional emails related to your account, donations, and platform updates.

Marketing and SMS

With your opt-in consent, we or the organizations you support may send you email marketing and infrequent SMS messages. Message and data rates may apply. You may withdraw consent at any time by replying STOP to any SMS or using the unsubscribe link in emails.

9. Prohibited Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any regulation
  • Provide false information during registration or verification
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service to launder money or engage in fraudulent activity
  • Reverse engineer or attempt to extract source code from the Service

10. Intellectual Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, and software, are owned by MicroGive and protected by applicable intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MICROGIVE DOES NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

MICROGIVE IS NOT A BANK, FINANCIAL ADVISOR, OR CHARITABLE ORGANIZATION. WE FACILITATE DONATIONS BUT DO NOT GUARANTEE TAX DEDUCTIBILITY. CONSULT A TAX PROFESSIONAL REGARDING THE DEDUCTIBILITY OF YOUR DONATIONS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MICROGIVE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MICROGIVE IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.

13. Indemnification

You agree to indemnify, defend, and hold harmless MicroGive and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion, with or without notice. You may delete your account at any time from your account settings. Upon termination, your right to use the Service ceases immediately. Data retention obligations survive termination as described in our Privacy Policy.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or a notice on the platform at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Texas, and you consent to personal jurisdiction in those courts.
